What exactly is a 'non-executive' chairman ? (ed. Murray's role)

Across the world, many companies have separated the roles of chairman and CEO, often resulting in a non-executive chairman, saying that this move improves corporate governance

    The non-executive chairman's duties are typically limited to matters directly related to the board, such as
    - Chairing the meetings of the board.
    - Organizing and coordinating the board's activities, such as by setting its annual agenda.
    - Reviewing and evaluating the performance of the CEO and the other board members.

    One with no power ... usually a part time office holder who sits on and chairs the main board of a company, and also usually provides support and advice to a chief executive officer, or someone reprsenting the man with power

    a non-executive chairman is a chairman who is not executive, hence 'non-executive'.

    an executive director has management/hands-on powers and can change/innovate/move & shake, hire & fire ... a non-exec is simply an advisor and supervises the exec directors and makes sure that they are doing their job(s), usually on behalf of the major shareholders .. he can recommend but not 'execute'

    Someone who acts more in an advisory / consultancy role rather than having day to day involvement.
    Edit: Apart from of course the normal duties of a Chairman at board meetings etc

    I don't really care what it means. The position is filled by Richard Murray so it can only be good for the club.

    So what exactly do we see Murray's role being exactly in the new structure ?

    One of simply being a figurehead / go-between, chairing board meetings etc ?

    Or taking back the player side negotiation he held previously (which supposedly was Prothero's remit) ?

    If he's now a non-exec director, it suggests he's being kept on for his close knowledge of the club. For how long is anyone's guess.

    presumably he knows the club workings and the personnel inside out so is being used as an advisor, perhaps as a go-between between the new owner and the remaining CAFC management .. excuse the between between
    .. whatever, as far as I am concerned the changes/take-over is good news ((:>)

    if he is non-executive that implies he won't be involved in any player side negotiation. I presume some-one is already lined up for this for this role. It would be unusual to take over a business and not have a Chief Executive lined up.

    In this case, Murray has no power, but is most probably the link between club and supporters.

    Don't really understand these things, if it is as its suggested, not sure why it needs more of a title than simply being a member of the board.

    I would have thought it is obvious that Murray will fulfill an advisory role.

    I see it as very positive too, as the new owner clearly wants to listen as he didn't have to appoint Murray to that role.

    There won't be one as there is only one Chairman. The day-to-day running of the club would be down to the CEO who would be appointed by the Board. Presumably RD already has someone in mind for that role.

    Only if he has influence. If he is just a figurehead then I doubt he will be in post in 12 months.

    Martin Simons was non-exec chairman for years. Normally just described as chairman - executive chairman is more unusual than non-exec. Although in football these things can mean whatever people decide.
